Terms and Conditions for Hivx Innovation

Welcome to Hivx Innovation ("Hivx," "we," "us," or "our"). By accessing or using our services, including but not limited to architectural and interior design, BIM modeling, Revit plugin development, or any other service provided by Hivx Innovation, you agree to the following terms and conditions.
1. Acceptance of Terms
By engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please refrain from using our services.
2. Services
Hivx Innovation provides:
- Architectural and Interior Design
- BIM Modeling and Coordination
- Revit Plugin Development
- Template and Family Creation for Revit
The scope of each project will be outlined in a separate agreement or proposal, which must be signed by both parties before commencement.
3. Intellectual Property
3.1 All designs, models, plugins, templates, and other deliverables provided by Hivx Innovation remain our intellectual property until full payment is received.
3.2 You are granted a non-exclusive, non-transferable license to use the deliverables for the purposes agreed upon in the project scope.
3.3 You may not reproduce, distribute, or use the deliverables for commercial purposes without prior written consent from Hivx.
4. Payment Terms
4.1 Payment terms will be specified in the project agreement.
4.2 Late payments may result in delays to the project timeline or additional fees.
4.3 All payments are non-refundable unless explicitly agreed otherwise.
5. Confidentiality
5.1 Both parties agree to keep all proprietary or confidential information shared during the project strictly confidential.
5.2 This obligation extends beyond the termination of the agreement.
6. Project Timeline
6.1 Hivx Innovation will make every effort to meet agreed timelines; however, unforeseen circumstances may result in delays. Clients will be notified promptly of any changes.
6.2 Clients are responsible for providing timely feedback, approvals, and required materials to avoid delays.
7. Revisions and Changes
7.1 Minor revisions are included as specified in the project scope.
7.2 Major changes or additional revisions will incur extra charges, which will be communicated beforehand.
8. Liability
8.1 Hivx Innovation will not be held liable for any indirect, incidental, or consequential damages resulting from the use of our services or deliverables.
8.2 Our liability, if any, is limited to the fees paid for the specific project in question.
9. Termination
9.1 Either party may terminate the agreement with written notice.
9.2 Upon termination, all outstanding payments for completed work must be settled immediately.
9.3 Any deliverables created up to the point of termination will be provided to the client upon payment.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Egypt. Any disputes will be resolved in the courts of Egypt.
11. Amendments
Hivx Innovation reserves the right to update these Terms and Conditions at any time. Clients will be notified of significant changes.
